ODN partnership model

ODN is a collaborative network of professionals who are prepared to invest in delivering Network solutions for clients either:

  • by charging premium rates for using Network IP or AOD tools on assignments, with part of the premium retained within ODN; or
  • by offering attractive low rates for initial engagement in return for a share of savings clients make as a result of our contribution.

The Network has been created to enable skilled consultants to own the company with a view to creating a successful organisation whose ownership structure can change within the next decade to best suit the needs of members, partners and clients.

Types of membership:

ODN has different grades of membership to recognise the differing input from individual members to the establishment of the Network. The shareholding of the individual will reflect the input and role each have had in the creation and on-going support of the Outcome Delivery Network.

The Founding Core Partners will invite individuals to join as:

Network Partner Members:

  • Principals; who bring established commercial offerings, already proven in their marketplace; or
  • Member Specialists; who will be leads in specific new propositions.

Ordinary Network Members:

  • Members who will contribute their skills and abilities to deliver great outcomes for clients using the AOD approach.

Shareholding will be divided in the company and allocated formally after initial membership invitations have been confirmed. Network Partner members will participate in a Class B Share Scheme.   Ordinary Network members will participate in a Class C Share Scheme.

  • Benefits of Network Membership

    Several sources of rewards are open to ODN members:

      1. Access to Network-owned Intellectual Property and IP in AOD and from other members;
      2. Access to AOD training and testimonial-derived opportunities and introductions;
      3. Building towards charging AOD-derived premium charging and revenue;
      4. Contribution ‘points’, exchangeable for sport / golf club memberships;
      5. Introductory bonus for recommending members, once they start contributing their revenue share.

    We seek to encourage members to participate and benefit from growing the Network successfully in four different ways:

    • Firstly, share ownership will reflect investment in IP creation, usage or effort.
    • Secondly, we will also award DeVere, or similar, points for sports events or club usage with clients – we have used golf as a great business development opportunity with clients in the past.
    • Thirdly, we intend to reward members proportionately with introductory fees for recommending prospective members who will contribute to our growth and income.
    • Fourthly, a finder’s fee will be paid to the introducer when members bring opportunities to ODN or other members, commensurate with revenue attracted.
  • Member Training arrangements

    We envisage all members of ODNL being expert in the innovations in the Assured Outcome Delivery approach that can increase significantly clients’ confidence in their ability to deliver the outcomes and results they want. Establishing expertise in our methods is a basic requirement for membership and for participation in share ownership as follows:

    • All members are expected to undertake AOD’s Introductory training and Implementation Coaching training. Self-service modules are being developed to ensure billable time is maximised whilst developing member skills;
    • As described in our ODNL Training Pages, we have developed 4 levels of capability development accreditation in AOD: namely AOD Aware, AOD Trained, AOD Practitioner, and AOD Expert;
    • Consultants and Interims need to achieve AOD Trained status before admission. We envisage the Members will attain AOD Practitioner status before we recommend them as Assignment Leads on ODNL source opportunties;
    • Nine AOD Insight Module videos are contained within our toolkit, plus two ‘science behind AOD’ videos; these can be used by members for initial client coaching prior to undertaking site based introductory training sessions;
    • Upon completion of training, initial payment to ODNL for membership share will be contracted £539, which triggers access to Network ‘how-to’ guides, toolsets and promotional materials.

    For new members, after start-up membership is completed:

    • Members in 2017 and beyond are expected to attend SyCo Solutions Ltd run courses in AOD methods (this can be mediated training sessions over evening and weekends) – AOD Introduction and Member Implementation Coaching Session;
    • Access to self-service modules and materials will be made available as refreshers to members thereafter;
    • Training for members from 2017 onwards will be charged at a rate equivalent to 2 days’ fees.
  • Participating in the Network

    If Outcome Delivery Network Ltd will be the vehicle providing contract for services into clients, each individual or organisation member will:

    • Sign a contracting agreement with ODNL that is back to back with the client contract.
    • Sign an ODN Non-Disclosure Agreement to protect our IP and brand in use of materials, training and techniques.
    • Carry their own PI / PL insurance in line with client requirements.
    • Submit invoices to ODNL in line with the client contract. ODNL will bill client with payments due at 30 days.   ODNL will pay each member by BACS within 3 days of receipt of payment from the client.
    • In exceptional circumstances, members may wish to bill directly. ODN would then invoice members for the ODNL contribution from fee uplift.
    • Ensure that client staff ‘appears demonstrably’ to be managing and delivering success inside the existing transformation or change programmes (for stakeholder management purposes). Our team will be seen to be part of, but separate from, the Client Team, with specific outcome-focused deliverables scope to ensure our appointments are outside IR35.

    Use Network email addresses e.g.deborah.dickie@outcomedeliverynetwork.com for ODN opportunities, client contact and network communications. ODNL expects to agree scope, desired outcomes and rates, to ensure these are available for conclusion, within one week of involving members in discussions with clients.

  • Margin sharing principles

    Services

    We expect use of the AOD approaches and tools to generate an increase in fee income for members, targeting an increased margin for our members of up to 20%.  In this circumstance members agree to pay half the uplift into ODNL, in which they have a shared ownership.   We envisage a simple model with a daily fee contribution to ODN from members using our Toolset and approach on assignments, agreed at contract commencement.

    Toolkits and Products

    Should other members sell members’ products as part of, or through, ODN assignments, then 50% of the sale value of the tools to clients will be retained in ODNL.

    Risk / Reward Commercial Model

    We will offer clients a reduced initial day rate if they are willing to agree a share of the savings delivered from our work to ODNL and also to the member(s) involved in the assignment.

    For example

    Member C creates product D that their clients like. Contributing this method into the ODN allows Member C to retain IP, but enable all other Members to promote and sell product D to their clients, enhancing its reputation, and generating a share of income made into ODN, in which Member C retains a share (the shareholding will reflect the level of IP invested for Network benefit). Member C will continue to provide support services and retain any associated support fees provided for the product.

  • What we expect from Members

    Upon gaining admitted status members are expected to:

    1. Sign an ODN Non-Disclosure Agreement (NDA), to protect and regulate the usage of Network and member IP, training materials and toolkits;
    2. Contribute case studies in a Context / Challenge / Insight / Action Taken / Results delivered (CCIAR) format for use on the ODN website;
    3. Pre-commencement, obtain permission from clients to produce a glowing testimony for the great work ODN will deliver for them, which is publishable on the ODNL website, in exchange for successful achievement of agreed outcomes;
    4. Provide a biography, photo and, if available, a company website url for linkage into the ODN website;
    5. Sign up to an ODN contract which describes:
      • Sharing rate % into ODNL; and/or
      • Contributing to ODNL for sales based on ODN IP made independently;
      • Protecting and maintaining our IP via membership NDA;
      • Contributing to presales and promotional effort from which all members can benefit.
    6. Attend regular member conference calls on sharing experience, war stories and lessons learned from AOD engagements.
    7. Attend, with clients where possible, ODN Network events at which latest ideas from members will be shared with other clients, members and affiliates.
    8. Always declare AOD as pre-existing IP in ANY contract, with Clients, Principals or Interim Agencies.    For the avoidance of doubt, only Partners may determine any variation to this and to sign off the income the other party will pay to adopt out IP in future.
